1. How to Enter: The Food Network Star Sweepstakes (the "Sweepstakes") begins at 12:01 AM Eastern Time ("ET") on May 7, 2012 and ends at 11:59 PM ET on July 22, 2012 ("Sweepstakes Period"). During the Sweepstakes Period, visit www.foodnetwork.com/starsweeps (the "Web Site"), fill in the online entry form, submit it in accordance with the on-screen directions during the Sweepstakes Period, and you will be entered. Limit one (1) entry per person, per email address, per household per day. Entries received from any person, email address or household in excess of the stated limitation will be void. Entries must be received by 11:59 PM ET on July 22, 2012 to be eligible. Entries generated by script, macro or other automated means or practices and entries by any means which subvert the entry process will be void.All entries submitted become the sole property of Sponsor and will not be acknowledged or returned.

2. Eligibility: To enter the Sweepstakes you must be a legal resident of the fifty (50) United States or the District of Columbia (excluding Puerto Rico, other U.S. territories, possessions and commonwealths) and be 21 years of age or older. Sweepstakes is void in Puerto Rico, other U.S. territories, possessions and commonwealths, and where restricted or prohibited by law. The Sweepstakes, and any web site pages and advertisements relating thereto, is intended for viewing only within the United States. You are not authorized to participate in the Sweepstakes if you are not located within the United States. Employees of Television Food Network, G.P. ("Sponsor"), Delta Air Lines, and Haley Miranda Group ("Sweepstakes Administrator"), and their respective affiliated companies, parents, subsidiaries and advertising and promotion agencies (collectively, "Sweepstakes Entities"), and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and members of their households, whether or not related, are ineligible to participate in this Sweepstakes.

3. Drawing and Notification: Potential Grand Prize Winner will be selected from all eligible entries received in a random drawing held on or about July 24, 2012 by Sweepstakes Administrator, an independent judging organization whose decisions are final and binding in all respects. Odds of winning the Grand Prize depends upon the number of eligible entries received. The potential Grand Prize Winner will be notified by phone and/or email.

4. Grand Prize (1): A trip for two (2) to New York, NY from October 12, 2012 to October 14, 2012. Trip includes: round-trip coach-class air transportation from a U.S. gateway airport on Delta Air Lines for two (2) from the city served by Delta Air Lines nearest Grand Prize winner's residence as determined by Sponsor, to New York, NY; hotel accommodations (one (1) room, double occupancy) for two (2) nights, $500 for the winner only (to be awarded as a check); two (2) tickets to select events at the Food Network New York City Wine and Food Festival; and round-trip ground transportation from the airport and hotel. If Grand Prize Winner resides within a 100-mile radius of destination, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for the difference in prize value. Travel must be made through Sponsor's agent, on Delta Air Lines and/or another carrier of Sponsor's choice. If the Grand Prize Winner does not live within a 100-mile radius of an airport served by Delta Air Lines, the Sponsor will provide ground transportation to such airport (and/or air as determined by Sponsor) with a carrier of Sponsor's choice. Certain travel restrictions may apply. Trip must be taken on dates specified by Sponsor or prize will be forfeited and Sponsor will have no further obligation to Grand Prize Winner. Grand Prize Winner and guest must travel together on the same itinerary. Guest must be 21 years of age or older, unless guest is child or legal ward of Grand Prize Winner, and must sign a liability/publicity release prior to issuance of travel documents. If guest is child or legal ward of Grand Prize Winner, Grand Prize Winner will be required to execute and return all required travel documents on behalf of such child or legal ward. Grand Prize Winner and guest are responsible for obtaining all required travel documents prior to travel. Prize is awarded "as is" with no warranty or guarantee either express or implied by Sponsor. Tickets are subject to certain terms and conditions specified thereon. Grand Prize Winner and his/her guest must comply with all venue rules and regulations. Failure to do so may result in forfeiture of such portion(s) of prize. If Sponsor is unable to provide tickets for any reason, no compensation or substitution will be permitted in lieu thereof; however, remainder of prize package will be awarded and Sponsor will have no further obligation to such Grand Prize Winner. Total Approximate Retail Value of Grand Prize: $4,950. Actual value may vary based on Grand Prize Winner's residence. All costs, fees, and expenses associated with the acceptance and use of the prize not specifically specified herein as being provided are the sole responsibility of the Grand Prize Winner, including any additional transportation costs, luggage fees, meals, gratuities, souvenirs or insurance. All federal, state, and local taxes are the Grand Prize Winner's responsibility. The Grand Prize Winner will be issued a 1099 tax form for the actual value of the Grand Prize. All prize details are at the sole discretion of the Sponsor. Sponsor reserves the right to substitute the prize (or portion thereof) with one of comparable or greater value, at its sole discretion. The Grand Prize cannot be transferred or substituted or redeemed for cash (if non-cash prize) except at Sponsor's sole discretion.

Air travel will be awarded in the form of Certificates that may be redeemed for round-trip coach class travel on Delta from the winner's home gateway to New York.Any transportation that is unclaimed, is not awarded or is otherwise not used by the travel completion date specified will be forfeited.  Certificate seats are limited and may not be available on all flights or in all markets.  Certificates are non-transferable, are not redeemable for cash and are void if sold or bartered.The sale or barter of tickets obtained through redemption of Certificates is also prohibited.  Any tickets obtained through such sale or barter are void and will not be honored for travel.  After ticketing, date, time and routing changes are permitted (subject to the availability booking class) however a $150 fee applies.Based on availability, passengers holding confirmed reservations and tickets may confirm earlier/later same day flight within 3 hours from scheduled departure time between same origin/destination for a non-refundable fee of $50 USD.

Certificates do not include a $3.80 Federal Excise Tax and September 11th Security Fee of up to $2.50which will be imposed on each flight segment in the passenger's ticketed itinerary.A flight segment is defined as a takeoff and a landing.For travel to/from Hawaii/Alaska, U.S. International Air Transportation Tax of up to $16.20 is not included. $25 USD fee for 1 checked bag and $35 USD fee for second checked bag.Allowances subject to size/weight limits.These taxes and fees are subject to change, are the responsibility of the passenger and (except for bag fees) must be paid at the time the ticket is booked.  Any taxes, fees, or changes paid at the time of ticket issuance will be refunded if ticket is not used.However, once redeemed, Certificates are void and will have no further value.Certificate travel will not qualify for SkyMiles mileage.Stopovers/Upgrades/Waitlisting/Open Returns are not permitted for tickets booked with Certificates.Lost, stolen or otherwise destroyed Certificates will not be replaced.Schedules are subject to change without notice.Additional restrictions may apply.It is the responsibility of the passenger to be in possession of all necessary documentation (e.g., valid passport, visa where applicable) at the time and place of departure.  Delta reserves the right to deny boarding to any passengers without proper documentation.

5. Prize Conditions: If Sponsor is unable to contact the potential Grand Prize Winner within two (2) days of the initial contact attempt, if the prize notification is returned as undeliverable, if potential Grand Prize Winner is found to be ineligible, or if he/she does not comply with the Official Rules, or if the potential Grand Prize Winner fails to comply with any of the requirements set forth herein, his/her prize will be forfeited and, at Sponsor's discretion, an alternate winner shall be selected.Potential Grand Prize Winner will be required to execute an Affidavit of Eligibility, a Liability Release and a Publicity Release (where legal) ("Affidavit/Release"). Such document must be returned within five (5) business days of issuance or prize will be forfeited and Sponsor will have no further obligation to such Grand Prize Winner. Except where prohibited by law, the Grand Prize Winner's entry and acceptance of the Grand Prize constitutes permission for the Sweepstakes Entities and their respective designees to use said Grand Prize Winner's name, photograph, voice and/or any other likeness, statements, biographical information, prize information, and city and state address for advertising, marketing, trade and promotional purposes on a worldwide basis, and in all forms of media, now or hereafter devised, in perpetuity, without further compensation, notification or permission.

6. Sweepstakes Conditions: This Sweepstakes is subject to all applicable federal, state and local laws.By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Administrator, which shall be final and binding and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. Grand Prize Winner and entrants also agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities and each of their respective officers, directors, employees, representatives and agents (collectively, "Released Parties") from and against any claims, damages of any kind or liability due to any injuries, damages or losses to any person (including personal injury or death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the Grand Prize (including any travel/activity related thereto) or participation in any Sweepstakes-related activity or participation in this Sweepstakes, or any claims based on rights of publicity and/or rights of privacy.

7. Limitations of Liability: In case of dispute as to the identity of any entrant, entry will be declared made by the authorized account holder of the email address submitted at time of entry provided he/she is eligible according to these Official Rules. "Authorized Account Holder" is defined as the natural person who is assigned an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. Potential Grand Prize Winner may be requested to provide Sponsor with proof that such winner is the authorized account holder of the email address associated with the winning entry. Released Parties are not responsible for late, lost, damaged, stolen, misdirected, incomplete, delayed, undeliverable, garbled destroyed or inaccurate entries due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or entries not received resulting from any hardware or software failures of any kind, lost or unavailable network, cable, satellite, Internet Service Provider or other connections, or failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, or faulty transmissions, or for any errors, problems or malfunctions whether technical, computer, network, telephonic, mechanical, typographical, printing, human or otherwise, including any errors, problems or malfunctions which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prize, the cancellation or postponement of any event, or in any Sweepstakes-related materials. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in the sweepstakes or downloading materials from or use of the website. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning the Grand Prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives and void all associated entries. If for any reason this Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud or any other causes which corrupt in any way or affect the administration, security, fairness, integrity, fulfillment or proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and, in the event of cancellation or termination, select the winner by randomly drawing from those eligible, non-suspect entries received up to the cancellation/termination date. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

8.Arbitration: Except where prohibited by law, as a condition of participating in this Sweepstakes, entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the entrant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-of-pocket expenses (i.e., costs associated with participating in this Sweepstakes), and entrant further waives all rights to have damages multiplied or increased.

Winner's Name will be available after 7/25/12. Requests received after 8/25/12 will not be honored. VT residents may omit return postage on rules requests.
