Eligibility: This Sweepstakes is open only to legal residents of the U.S. and its territories, possessions, and commonwealths (excluding Puerto Rico) who are 18 years of age or older at time of entry. Employees of Colgate-Palmolive (the "Sponsor"), Television Food Network, G.P., the TEAM Group (the "Sweepstakes Administrator"), their affiliated companies, parents, subsidiaries and advertising and promotion agencies, (collectively, "Sweepstakes Entities"), and their immediate families and members of their households (whether or not related), are ineligible to participate in this Sweepstakes. This Sweepstakes is governed by US law and is subject to all applicable federal, state, local laws and regulations.

Method of entry: Beginning at 9:00 a.m. Eastern Time ("ET") on August 15, 2008 until 5:00 p.m. ET on October 10, 2008, you may enter the Palmolive(R) "Memphis BBQ" Sweepstakes (the "Sweepstakes") by visiting www.foodnetwork.com ("the website"), completing the entry form in its entirety, and submitting the entry in accordance with the on-screen instructions. Limit one (1) entry per person or email address per day regardless if entrant has more than one email address. Although subsequent attempts to enter on a given day may be received, only the first entry received from a particular individual email account will be eligible; subsequent attempts to enter in a given day will be disqualified. All entries must be received by 5:00 p.m. ET on October 10, 2008 to be eligible.

Privacy and Confidentiality: When you enter at www.foodnetwork.com, you may be asked by the Sponsor to consent to receive promotional e-mails and reminders for upcoming promotions and information about their product or services. Consenting to receive such e-mails is optional and does not have to be agreed to in order to be eligible to enter the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these e-mails, the information provided by you to participate in this Sweepstakes and the use of such e-mails is subject to the Sponsor's privacy policy located at www.colgate.com.

Limitations of Liability: Sponsor and Sweepstakes Entities, are not responsible for: any incorrect or inaccurate entry information; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, server providers, or software, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Sweepstakes; inability to access www.foodnetwork.com; theft, tampering, destruction, or unauthorized access to, or alteration of entries; transactions that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or at any web site; printing or human or other errors; and any entries which are late, lost, incomplete, misdirected, or any combination thereof. Online submission is not considered proof of delivery or receipt. All entries become the property of Sponsor and will not be returned or acknowledged. By entering, all participants and/or entrants agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities and their respective parent companies, subsidiaries, their respective representatives and agents, advertising and promotion agencies, sweepstakes partners and prize suppliers, and all of their respective affiliated companies, employees, officers, directors and shareholders, from and against all claims and damages or liability arising in connection with each entrant's participation and/or entry in the Sweepstakes and/or their receipt or use of any prize awarded in this Sweepstakes or due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any sweepstakes-related activity or participation in this Sweepstakes. Any and all warranties and guarantees are subject to the respective manufacturer's terms.

Grand Prize and its approximate retail value: One (1) Grand Prize Winner ("Grand Prize Winner") will receive a trip to Memphis, TN for two (2) people consisting of the following: (i) roundtrip coach airfare to Memphis, TN from major US gateway airport closest to winner's primary residence (as determined by "Sponsor"), or ground transportation if winner resides within a 150 mile radius of Memphis, Tennesse; (ii) ground transportation from airport/hotel/airport (if flights into Memphis); (iii) first class hotel accommodations (1 room, double occupancy; room rate and tax only) for three (3) days/two (2) nights (as determined by "Sponsor"); (iv) one (1) dinner for two (2) at Neely's BBQ Restaurant; and (v) $1000 cash spending money for Grand Prize winner only. Approximate Retail Value (ARV) of this Prize Package is $3,038.00. Actual Value of Grand Prize depends on winner's location and fares at the time of departure. If actual value of trip turns out to be less than the stated ARV, the difference will not be awarded in cash.

Total ARV of the one (1) prize being offered in the Sweepstakes: $3,038.00.

The specifics of all aforementioned elements of the Grand Prize in the Sweepstakes shall be solely determined by Sponsor. All meals, other than as noted herein, ground transportation, additional costs, taxes, fees, gratuities, incidentals, upgrades, service charges and other expenses associated with acceptance and use of any element of any prize not specifically addressed above as being awarded are the sole responsibility of the prize winner. Prize winner and their respective guest must travel on the exact same itinerary (the same airline and flight, including same departure and return dates) or prize may be forfeited and awarded to an alternate winner. Dates for taking the trip may be selected at the discretion of the winner, but are subject to availability and other blackout dates as dictated by the airline and hotel. All travel must be completed by October 31, 2009, or the prize may be forfeited and an alternate winner selected.

Travel companion of prize winner must be aged 18 years or older, or if a minor, have the written permission of parent/legal guardian, and will be required to sign publicity and liability releases, and return same, properly executed, prior to issuance of travel documents. All travel must be arranged with Sweepstakes Administrator a minimum of forty-five (45) days in advance, and is subject to availability. If prize winner is unable to fulfill the prize during the specified time period, such prize winner forfeits the prize and an alternate winner may be selected. Once travel arrangements have been made and tickets have been purchased, travel may only be altered at the sole expense of the winner. All federal, state and local taxes on prizes are the prize winner's responsibility. Prize winner will be issued a 1099 tax form for the ARV of the prize (Approximately $3,038.00). Some restrictions may apply. The prize cannot be transferred or substituted except at Sponsor's sole discretion. Sponsor reserves the right to substitute the prize, or portions thereof, with a prize of equal or greater value.

How Winner will be Determined: The potential prize winner will be selected by an Independent Administrator on or about October 25, 2008 in a random drawing from among all eligible entries received. The prize winner will be contacted by phone on or about October 31, 2008. Sponsor's decisions with respect to prize winner and other matters pertaining to the Sweepstakes shall be final and binding. The potential prize winner will be required to sign an affidavit of eligibility and release of liability and publicity (where permitted), and return same, properly executed, within ten (10) days of date of issuance of prize notification. If Sponsor is unable to contact the potential prize winner within ten (10) days from date of first notification attempt, or if the potential prize winner (i) fails to complete and return all requested forms by the specified date, (ii) is found to be ineligible, or (iii) fails to comply with the Official Rules, his/her prize will be forfeited and, at Sponsor's discretion, an alternate winner may be selected.

Except where prohibited by law, entry and acceptance of prize constitutes permission to use winner's name, photograph, likeness, biography, voice and/or video for purpose of advertising promotion, including online announcements, worldwide and without limitation and without additional compensation, notification or permission.. The odds of winning depend upon the number of eligible entries received for the applicable drawing.

Participating entrants agree to these Official Rules and the decisions of the Independent Administrator and the Sponsor and release, defend and hold harmless the Sponsor, Sweepstakes Entities, and their respective parent companies, subsidiaries, affiliated companies and all other businesses involved in this Sweepstakes, as well as each of their employees, officers, directors and agents of each, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to or participation in this Sweepstakes, or possession, acceptance and/or use or misuse of prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Neither the Sponsor nor the Sweepstakes Entities are responsible if Sweepstakes cannot take place or if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Winner assumes all liability for any injury or damage caused or claimed to be caused by participation in this Sweepstakes or use or redemption of any prize. Sponsor and Sweepstakes Entities are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize. Winner's List: Beginning on or about November 10, 2008, you may obtain the name of the prize winner by going to www.foodnetwork.com. Results of the drawing will be removed from www.foodnetwork.com on or about December 15, 2008. Arbitration: This Sweepstakes shall be governed by and interpreted under the laws of the State of New York, USA without regard to its conflicts of laws provisions. By participating, entrants agree that any and all disputes arising out or relating in any way to this Sweepstakes shall be litigated only in courts sitting in New York, NY, USA
