Sargento's "New York Culinary" Sweepstakes Official Rules

SWEEPSTAKES IS OPEN TO LEGAL RESIDENTS OF THE 48 CONTIGUOUS UNITED STATES AND THE DISTRICT OF COLUMBIA, 18 YEARS OR OLDER, AND SHALL BE GOVERNED BY U.S. LAW. DO NOT ENTER THIS SWEEPSTAKES IF YOU ARE NOT LOCATED IN THE 48 CONTIGUOUS UNITED STATES OR THE DISTRICT OF COLUMBIA.

NO PURCHASE NECESSARY.

ELIGIBILITY: The Sargento "New York Culinary" Sweepstakes (the "Sweepstakes") is open to all legal residents of the 48 contiguous United States and the District of Columbia, 18 years of age or older. Employees, officers, directors, agents (and their immediate families [spouse, parent, child, sibling and their respective spouses] and household members [whether or not related]) of Sargento Foods Inc. (the "Sponsor"), Television Food Network, G.P., and their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, with the Sponsor, the "Sweepstakes Entities") are not eligible to participate in the Sweepstakes. Void in Hawaii, Alaska, Puerto Rico, and wherever prohibited by law. The Sweepstakes is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Sweepstakes, entrants agree to accept and be bound by all terms of these Official Rules.

PRIZES/PRIZE CONDITIONS: One (1) Grand Prize winner will receive a trip for two (2) to New York City. Trip will include: (i) round trip, coach class airfare for winner and one (1) guest between closest major airport to Grand Prize Winner's home and New York City; (ii) hotel accommodations for three (3) days/two (2) nights (1 room, double occupancy. Room rate and tax only); (iii) round-trip airport transfers; (iv) One (1) dinner for two (2) at a Food Network Chef restaurant; (v) a tour of the Food Network Kitchens; and (vi) $500 spending money (for winner only). The Approximate Retail Value (ARV) of this prize package is $3,500.

Two hundred (200) Prize winners will each receive a Food Network TasteBook which will include 10 recipes from Sargento and 10 recipes from the Food Network Kitchens (TasteBook prizes to be awarded on a weekly basis). The ARV of each Weekly Prize is $22.50. The ARV of all Weekly Prizes is $4,500.

Total ARV of all two hundred and one (201) prizes: $8,000.

No substitution or transfer of prizes or cash redemptions permitted, except at the sole discretion of the Sponsor. The Sponsor reserves the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, at its sole discretion. The Food Network Kitchens Tour is subject to availability and may be cancelled at any time. The Grand Prize winner and Weekly Prize winners are responsible for the reporting and payment of all federal, state and local taxes (if any).

All costs, taxes, fees, and expenses (including, but not limited to room service, meals, beverages, incidentals, tips and other personal expenses) associated with acceptance and use of any element of any prize and not specifically in the prize as described above are the sole responsibility of the prize winner. Grand Prize winner and his or her guest must travel on the exact same itinerary (the same airline and flight) or prize may be forfeited and awarded to an alternate winner. Dates for taking the trip may be selected at the discretion of the winner, but are subject to availability and other blackout dates as dictated by the airline and hotel. All travel must be completed by April 30, 2010, or the prize may be forfeited and an alternate winner selected.

HOW TO ENTER: The Sweepstakes will begin at 9:00 a.m. Eastern Time ("ET") on March 9, 2009 and end at 5:00 p.m. ET on April 26, 2009 (the "Promotion Period"). There are three (3) ways to enter during the Promotion Period: 1.) Visit the Food Network website, located at www.foodnetwork.com, complete the 5 question quiz, and complete and submit the online entry form in its entirety. 2.) Visit www.foodnetwork.com, follow the instructions on how to enter without completing the quiz, and complete and submit the online entry form in its entirety; or 3.) Hand print your name, complete address and phone number either on a postcard or on a separate piece of paper no larger than 8 x 11 inches, and mail it to: Sargento's "New York Culinary" Sweepstakes, P.O. Box 385, Florham Park, NJ 07932. Mail-in entries must be postmarked by April 26, 2009 and received no later than May 4, 2009.

Each week during the Promotion Period, running from 12:00 a.m. Eastern Standard Time ("EST") Monday through 11:59 p.m. Sunday (the "Weekly Entry Period"), for seven (7) weeks, a drawing will be held from all eligible entries received. To be eligible for a drawing with respect to a Weekly Entry Period, mail-in entries during each Weekly Entry Period must be received by 12:00 p.m. EST on the Monday immediately following the applicable Weekly Entry Period.

Completing the 5 question quiz online is optional and will not increase your chance of winning a prize. Limit: one (1) online entry per valid email address, per person per day. Entrants using U.S. mail may enter as often as they wish during the Promotion Period. Limit one (1) entry per envelope. Mechanically reproduced or stamped entries will not be accepted. All entries must be in English. The Sponsor reserves the right in their sole discretion to disqualify any entry if it is determined that the entrant has not complied with these Official Rules. Entries generated by script, macro or other automated means will be voided. The Sweepstakes Entities are not responsible for late, lost, incomplete, misdirected, stolen, mutilated, illegible or postage due mailed entries, unauthorized access to or alteration of entries, injury or damage to any person's computer, nor for website or Internet-related technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person's ability to participate in the Sweepstakes, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes-related materials. Proof of mailing or online submission is not considered proof of delivery or receipt. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsor's control, which corrupt the integrity, administration, security or proper operation of the Sweepstakes, the Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Sweepstakes. In the event of cancellation, the Sponsor reserves the right to select winners from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False, tampered with or altered or deceptive entries and other false, deceptive or disruptive acts will render the entrant ineligible. Each entrant hereby acknowledges and agrees that the relationship between entrant and the Sponsor is not a confidential, fiduciary, or other special relationship, and that entrant's decision to submit his/her entry to the Sponsor for purposes of the Sweepstakes does not place the Sponsor in a position that is any different from the position held by members of the general public with regard to elements of entrant's entry. All entries become the property of the Sponsor and will not be acknowledged or returned.

By providing your email address, you grant the Sweepstakes Entities the right to send you commercial messages and share your address with others, unless specified otherwise as indicated on the entry form. By way of illustration and not limitation, the Sweepstakes Entities may use such information to contact entrants by mail, email and telephone to update them on products, services and upcoming events.

When you enter at www.foodnetwork.com , you may be asked by the Sponsor to consent to receive promotional e-mails and reminders for upcoming promotions and information about their product or services. Consenting to receive such e-mails is optional and does not have to be agreed to in order to be eligible to enter the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these e-mails, the information provided by you to participate in this Sweepstakes and the use of such e-mails is subject to the Sponsor's privacy policy located at http://www.foodnetwork.com/home/privacy-policy/index.html

HOW WINNERS WILL BE DETERMINED: The two-hundred (200) winners of a TasteBook will be awarded as follows: Twenty-nine (29) winners each week for weeks 1 - 6, and twenty-six (26) winners for week 7 will be selected in a random drawing on or about the Tuesday following each Weekly Entry Period from among all eligible entries received for such Weekly Entry Period. The Grand Prize Winner will be selected in a random drawing from among all eligible entries received on or about May 15, 2009. All winners will be selected by an independent judging organization, and will be contacted by phone and/or confirmed in writing within seven (7) days of each respective drawing. Judge's decisions with respect to all winners and other matters pertaining to the Sweepstakes shall be final. The odds of winning will depend upon the number of eligible entries received for each respective drawing.

GENERAL TERMS & CONDITIONS: The prospective Grand Prize Winner will be required to sign an Affidavit of Eligibility, Release of Liability and, to the extent permitted by law, a Publicity Release, and return same, properly executed, within ten (10) days of issuance of prize notification. Such documents will be binding and effective upon signature, and shall encompass all Sweepstakes Entities. If the Sponsor is unable to contact the prospective winners, if the prospective Grand Prize winner fails to complete and return all requested forms by the specified date, or if the prospective winners fail to comply with any of the requirements of these Official Rules, his/her prize will be forfeited and an alternate winner shall be selected. Travel companion of winner must be aged 18 years or older, or if a minor, have the written permission of parent/legal guardian, and will be required to sign and return a Release of Liability and, to the extent permitted by law, a Publicity Release, properly executed, prior to issuance of travel documents. All travel must be arranged with Sweepstakes Administrator a minimum of forty-five (45) days in advance, and is subject to availability. If winner is unable to use the prize during the specified time period, such winner forfeits the prize and an alternate winner may be selected. Once travel arrangements have been made and tickets have been purchased, travel may only be altered at the sole expense of the winner. Grand Prize winner will be issued a 1099 tax form for the ARV of the prize (Approximately $3,500). Some restrictions may apply. The prize cannot be transferred or substituted except at Sponsor's sole discretion. Sponsor reserves the right to substitute the prize, or portions thereof, with a prize of equal or greater value. All prizes will be awarded. By entering the Sweepstakes, all entrants consent to the use of their name, photograph, likeness, biography, voice and/or video for advertising and promotional purposes, including online announcements, worldwide and without limitation and without additional compensation, except where prohibited by law.

In the event of a dispute as to the identity of an online winner based on an e-mail address, the winning entries will be declared made by the authorized account holders of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

The Sweepstakes Entities expressly disclaim any responsibility for, and entrants agree to indemnify and hold harmless the Sweepstakes Entities from, any and all claims, actions, demands and liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Sweepstakes (regardless of the cause of such injury, damage or loss) or the delivery or subsequent use or misuse of any of the prizes awarded.
